Terms of Service
Version 2.0 · Effective 28 October 2026
These Terms of Service ("Terms") are a legally binding agreement between you and The Business Clinic Limited operating the ClariFi platform ("ClariFi," "we," "our," or "us"). ClariFi is the product name. BizClinic Africa LLC may provide disclosed technology and shared services as a processor; it is not the primary contracting party for ClariFi services in Kenya. By accessing or using the service, you agree to these Terms.
1. Eligibility and authority
You must be at least 18 years old and legally capable of entering contracts. If you use the service on behalf of a company, partnership, or other organization, you represent that you are authorized to bind that entity, and "you" includes that entity.
2. Nature of service and no professional advice
ClariFi provides software tools for business diagnostics, planning, reporting, and related decision support. The service is not legal, tax, accounting, investment, medical, or other professional advice. You are solely responsible for decisions, filings, and actions you take.
3. Account security and registration data
You must provide accurate, complete, and current information at registration and keep it updated. You are responsible for all activity under your account and for safeguarding credentials. Notify us promptly of unauthorized use or security incidents.
4. Acceptable use
You may use the service only in compliance with applicable law. You may not: (a) violate law or third-party rights; (b) upload malicious code; (c) attempt unauthorized access, probing, or scraping; (d) interfere with service integrity or availability; (e) reverse engineer except where prohibited restrictions are unenforceable by law; (f) use the service for prohibited content, fraud, harassment, or sanctions evasion.
5. Customer data, privacy, and compliance
As between the parties, you retain ownership of your customer data. You grant us a limited license to host, process, transmit, and display data solely to operate, secure, improve, and support the service. You represent that you have all rights and notices needed to provide data to us and that your use complies with privacy and data-protection laws that apply to you.
6. Intellectual property
The service, including software, interfaces, designs, trademarks, and content we provide, is owned by ClariFi or its licensors and protected by law. Except for limited rights expressly granted in these Terms, no rights are transferred to you.
7. Third-party services
The service may integrate with third-party products, payment providers, cloud services, and communication channels. We are not responsible for third-party services and do not warrant their availability, security, or performance. Your use of them is governed by their terms.
8. Fees, billing, and taxes
Paid products are billed in Kenya shillings (unless another currency is shown at checkout) under the plan terms presented at purchase. Payments are collected by our payment processors for ClariFi's own services only; we do not collect or hold funds on behalf of other businesses. You are responsible for applicable taxes, duties, levies, and similar charges, excluding taxes based on our net income. Delivery, cancellation and refunds are governed by our Service Delivery Policy and Refund and Cancellation Policy, which form part of these Terms.
9. Suspension and termination
We may suspend or terminate access immediately if we reasonably believe there is a security risk, legal violation, non-payment, abuse, or breach of these Terms. You may stop using the service at any time. Sections that by nature should survive termination do survive.
10. Warranties disclaimer
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND QUIET ENJOYMENT.
11. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CLARIFI AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, AND LICENSORS ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS INTERRUPTION. OUR AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY OR (B) USD 100.
12. Indemnification
You agree to defend, indemnify, and hold harmless ClariFi and its affiliates from claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from your data, your use of the service, your breach of these Terms, or your violation of law or third-party rights.
13. Export controls and sanctions
You may not use, export, re-export, or transfer the service in violation of U.S. export controls, sanctions laws, or other applicable trade laws. You represent that you are not located in, organized under, or ordinarily resident in restricted jurisdictions and are not on prohibited-party lists.
14. Governing law and jurisdiction
These Terms are governed by the laws of Kenya. Subject to section 15, the courts of Kenya have jurisdiction over any dispute arising from these Terms or the service. If you use the service from outside Kenya, mandatory consumer or data-protection law of your country of residence continues to apply where it cannot be excluded by contract.
15. Complaints and dispute resolution
Complaints and disputes are handled under our Complaints and Dispute Resolution Policy: support first, then escalation to a director, then mediation and, where applicable, arbitration in Nairobi under the Arbitration Act, 1995. Consumers may instead bring a claim in the Small Claims Court or another competent Kenyan court.
16. Changes to these terms
We may revise these Terms from time to time. Material changes may be communicated through the service, by email, or by posting an updated date. Your continued use after the effective date of revised Terms constitutes acceptance.
17. General legal terms
If any provision is held unenforceable, the remaining provisions remain in effect. Failure to enforce a provision is not a waiver. You may not assign these Terms without our consent. We may assign these Terms in connection with merger, acquisition, or sale of assets. These Terms are the entire agreement regarding the service and supersede prior agreements on this subject.
